PLEASE READ THIS AGREEMENT CAREFULLY. BY ACCESSING THE SITE OR USING OUR SERVICES, YOU HEREBY AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS. IF YOU DO NOT EXPRESSLY AGREE TO ALL TERMS, PLEASE DO NOT ACCESS OR USE OUR SITE OR SERVICES.

1. THE MilliUp! ADVERTAINMENT ECOSYSTEM
MilliUp! LLC (“The Company”) provides an “Advertainment” platform—a hybrid of advertising and entertainment services. By accessing www.milliup.com, using the World Business Ranking System (WBRS), or entering the MilliUp Event Center (The MEC), you agree to be bound by these Terms and Conditions.

2. WBRS & DIGITAL REAL ESTATE DISCLOSURE
The World Business Ranking System (WBRS) is a proprietary, gamified advertising platform. All purchases of “Digital Real Estate,” “Online Billboards,” or “Bidding Slots” are service-based advertising placements.

Non-Investment Status: These slots do not constitute legal ownership of real property, financial securities, stocks, or equity in MilliUp LLC. Participation is an advertising expenditure, not a financial investment.

Milestone Rewards: References to “Dividends” or “10% Payouts” are promotional milestone rewards. These are contingent upon the platform reaching the $2,000,000,000 (Two Billion USD) profit threshold.

No Financial Advice: MilliUp LLC is not a financial advisor.

3. PAYMENTS, REFUNDS, AND PAYPAL BINDING
All transactions are processed securely via PayPal or authorized third-party processors. Because digital advertising slots are rendered immediately upon purchase and “Bid” placement:

All Sales Are Final: There are no refunds for digital real estate purchases, ranking bids, or social media blasts once the service has been initiated.

Secured Positions: The “Money Back Guarantee” refers to the technical security of your transaction and the guaranteed display of your advertisement according to your bid rank.

4. PHYSICAL VENUES & BROADCAST CONSENT
Access to physical locations (The MEC & Rooftop) in Uptown Charlotte is subject to separate safety and capacity guidelines. By entering a MilliUp! venue, you consent to being filmed and photographed for The MilliUp! Broadcast Network. MilliUp LLC is not liable for interruptions due to “Acts of God” or extreme weather conditions.

5. ACCOUNT RESPONSIBILITY & SURVIVORSHIP
Registration: You must provide factual, current information. False information is grounds for immediate termination.

Security: You are responsible for all activities under your account.

Digital Mortality: Your account is non-transferable. All rights to your ID and account contents terminate upon death. Upon receipt of a death certificate, the account will be terminated and contents permanently deleted.

6. INTELLECTUAL PROPERTY & PROPRIETARY RIGHTS
The MilliUp! Winged Logo, “The World Business Ranking System,” “WBRS,” “Advertainment,” “The E.B.E. List,” “MilliServices,” “The MilliMerch Emporium,” and “The MilliUp Broadcast Network” are proprietary assets and trademarks of MilliUp! LLC.

Any unauthorized use, reproduction, or distribution of these assets, brand features, or service names is strictly prohibited.

Users do not acquire any ownership rights in any protected content. We do not grant any licenses, express or implied, to the intellectual property of MilliUp LLC except as authorized by these Terms.

7. USER CONDUCT & CONTENT MODERATION
You agree not to use our Services to upload or transmit content that is unlawful, harmful, threatening, or infringing on the rights of others.

Modality: MilliUp LLC reserves the right to pre-screen, move, or remove any listing in The E.B.E. List (Entertainment Bureau of Entrepreneurs) that violates community standards or involves fraudulent practices.

License: You grant MilliUp LLC a worldwide, royalty-free, non-exclusive license to use, distribute, and display the content you post for the purpose of providing and promoting our Services.

8. WARRANTY DISCLAIMER
MILLIUP LLC SERVICES AND SOFTWARE ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WE EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESSED OR IMPLIED, INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTIES OF TITLE, MERCHANTABILITY, OR FITNESS FOR A PARTICULAR PURPOSE.

9. LIMITATION OF LIABILITY
YOU EXPLICITLY AGREE THAT MILLIUP LLC SHALL NOT BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF PROFITS, GOODWILL, OR DATA. WE DO NOT GUARANTEE SALES; WE GUARANTEE VISIBILITY AND AUTHORITY WITHIN OUR ECOSYSTEM.

10. STATUTE OF LIMITATIONS
You acknowledge and agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to the use of our Services or this Agreement must be filed within one (1) year after such claim or cause of action arose or be forever barred.

11. INDEMNITY
You agree to insure and hold MilliUp LLC, our subsidiaries, and agents blameless for any claim or demand, including reasonable attorney fees, made by any third party arising from your content or your violation of these Terms.

12. CHOICE OF LAW & FORUM
This Agreement is governed by the laws of the State of North Carolina. Any and all disputes shall be filed exclusively within the courts of Mecklenburg County, North Carolina, or the U.S. District Court located therein.

13. ERRORS AND OMISSIONS
Occasionally, information on our Site may contain typographical errors or inaccuracies related to pricing, promotions, and availability. We reserve the right to correct any errors and to cancel orders if any information is inaccurate at any time without prior notice (including after you have submitted your order).
